Terms of Service

Welcome to NivoNutri, a NivoCompany product. These Terms of Service govern access to and use of our platform, features, applications, websites and related services. By creating an account or using NivoNutri, you agree to these terms. Please read them carefully.

1. Acceptance of terms

By accessing or using the NivoNutri platform, you represent that you have read, understood and agree to these Terms of Service and to our Privacy Policy. If you are entering into these terms on behalf of a company, you represent that you have the authority to bind that organization. If you do not agree with any provision, do not use the services.

2. Description of services

NivoNutri is a platform that brings together customer, service, product, calendar, finance and automation management through AI assistants and autonomous agents. We may add, modify or discontinue features, while respecting the terms you have subscribed to.

3. Account and eligibility

To use NivoNutri, you must create an account with true, complete and current information. You are responsible for:

  • Being at least 18 years old with full legal capacity.
  • Keeping your credentials secure and not sharing your access with third parties.
  • Notifying us immediately in case of unauthorized use or suspected security breach.
  • Ensuring that the collaborators invited to your workspace also comply with these terms.

4. Plans, billing and credits

NivoNutri operates on monthly subscription plans that include a fixed volume of credits for artificial intelligence usage.

  • Recurring billing: the plan fee is charged at the start of each monthly cycle, with automatic renewal until cancellation.
  • Credits: credits are consumed as you use AI, agents, search and image generation. Unused credits expire at the end of the cycle, unless explicitly stated otherwise.
  • Additional credits: you may purchase one-off packs to supplement your monthly usage.
  • Upgrade and downgrade: upgrades take effect immediately; downgrades apply on the next billing cycle.
  • Taxes: amounts may be subject to applicable taxes based on your location.
  • Non-payment: in case of payment failure, we may suspend access to paid features until the account is in good standing.

5. Acceptable use

When using NivoNutri, you agree not to:

  • Violate applicable laws or third-party rights, including intellectual property and privacy.
  • Submit or store illegal, discriminatory, defamatory, misleading or violence-inciting content.
  • Use the platform to send spam, unsolicited mass messages or malicious content.
  • Reverse engineer, attempt to bypass security measures, interfere with the operation of the services or access data from other users.
  • Use the platform for fraudulent financial activities, money laundering or any illegal purpose.
  • Automate usage in a way that overloads the systems beyond what is reasonable for your plan.

We reserve the right to suspend or terminate accounts that violate these rules, with or without prior notice.

6. User content

All content you add to NivoNutri — including customer data, files, images, notes and messages — remains your property. You grant us a limited, non-exclusive, revocable license, solely to operate the services for your benefit, such as storing, processing, transmitting and displaying this content to you and your authorized collaborators.

You are solely responsible for the legality of the content you store and for complying with data protection laws regarding your customers and collaborators.

7. Intellectual property

The NivoNutri platform — including code, design, branding, logos and original content — is owned by or licensed to us and is protected by intellectual property laws. No rights are transferred to you beyond the limited usage license granted by these terms.

8. AI-generated content

NivoNutri's AI features may produce results that are inaccurate, incomplete or reflect limitations of the underlying models. You acknowledge that:

  • Generated content should not be treated as professional, legal, financial, medical or similar advice.
  • You are responsible for reviewing the results before using them in customer communications or operational decisions.
  • We may apply usage limits to prevent abuse or excessive credit consumption.

9. Third-party services

The platform may integrate with third-party services, which are governed by their own terms and policies. We are not responsible for the availability, performance or content of external services you choose to connect to NivoNutri.

10. Termination

You may cancel your subscription at any time directly from the platform. After cancellation, access to paid features remains until the end of the paid period, after which the subscription ends.

We may suspend or terminate your account immediately, without refund, if there is a breach of these terms, misuse of the platform, security risk or legal requirement.

11. Warranties and disclaimers

NivoNutri is provided "as is" and "as available". To the fullest extent permitted by law, we do not warrant that the services will be uninterrupted, error-free, fully secure or meet all of your expectations. You use the platform at your own risk.

12. Limitation of liability

To the maximum extent permitted by applicable law, NivoNutri and its officers, directors, employees and partners shall not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, data or business opportunity, even if we have been advised of the possibility of such damages.

In any case, our aggregate liability shall not exceed the amount actually paid by you to NivoNutri in the 12 months preceding the event giving rise to the claim.

13. Indemnification

You agree to indemnify and hold NivoNutri harmless from any claims, losses, costs or expenses arising from misuse of the platform, breach of these terms or violation of third-party rights.

14. Governing law and jurisdiction

These terms are governed by the laws of the Federative Republic of Brazil. Any disputes shall be resolved before the courts of the jurisdiction where NivoCompany is domiciled, waiving any other venue, however privileged.

15. Changes to the terms

We may update these Terms of Service periodically. Material changes will be communicated by email or inside the platform with reasonable advance notice. Continued use of the services after such changes constitutes acceptance of the new version.
